Terms and Conditions
These terms and conditions form a binding agreement between you and Granite Azalea Kabushiki Kaisha in connection with any service engagement.
1. Application
These conditions apply to the Visual Inspection Feasibility Study, Defect Record Analysis and Operator Handover Training supplied by Granite Azalea Kabushiki Kaisha to manufacturing clients. The statement of work for each project sets scope, schedule, deliverables and fee, and prevails over these conditions in case of conflict.
2. Deliverables
- Feasibility Study (about three weeks): Image capture of your samples at the plant, detection testing, and a report giving results by defect class, including the classes where assisted checking did not perform well enough.
- Record Analysis (about three weeks): Review of at least two years of quality records to identify clustering by shift, line or lot, with a shortlist of checks worth examining.
- Operator Training (three hours on site): A session for up to twelve participants, with a printed reference sheet and an attendance record.
3. Client obligations
- Samples and records: Provide representative samples, including known defects, and complete records in an agreed format.
- Plant access: Arrange access, a host and safety induction. Our staff follow your plant's safety rules and may refuse to enter an area they consider unsafe.
- Decisions on the line: Any change to inspection procedures, acceptance criteria or staffing remains your decision. Our reports inform that decision; they do not certify product quality or replace your quality management system.
4. Fees
Fees are as listed or as stated in the statement of work, including consumption tax, and exclude travel beyond the Tokyo metropolitan area, which is charged at cost. Studies and analyses are invoiced half at start and half on delivery; training is invoiced after the session. Payment is due within thirty days by bank transfer.
5. Confidentiality
We treat samples, images, drawings and quality data as your confidential information, use them only for your project, and return or delete them as set out in the Privacy Policy. We will sign your non-disclosure agreement on request. Results are not published or used as case studies without written permission.
5a. Scheduling plant visits
Image capture and training take place during hours agreed with your plant, usually outside peak production. If a visit is cancelled by the plant fewer than three working days in advance, reasonable travel costs already incurred are charged. We will not ask for a line to be stopped for capture; samples are photographed at a station you provide. Where your plant requires visitors to sign a confidentiality undertaking, our staff will sign it on arrival.
6. Limitation of liability
We perform the services with reasonable professional care. We do not warrant any detection rate on your production line, and we are not liable for defects that escape inspection, for production losses, or for recalls. Our aggregate liability for a project is limited to the fees paid for it, except in cases of intent or gross negligence.
7. Samples and equipment
Samples are handled with care and returned at the end of the study. Destructive testing is carried out only with your written agreement. We are responsible for our own capture equipment brought into the plant.
8. Governing law
These conditions are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction in the first instance. Invalidity of any clause does not affect the others.
